A. TERMS OF USE

1. Introduction

Talentbase Group Limited (hereinafter referred to as “Company” “we”, “us”, or “our”) is the legal and equitable owner of www.talentbase.uk hereinafter referred to as the “Website”), its domains (hereinafter referred to as the “Domains”) and its application (hereinafter referred to as the “Application”). The Company uses this Website and the Application to connect different workers (hereinafter referred to as the “Worker”) and potential companies (hereinafter referred to as the “Employer”). This is primarily done through automated matching systems. The Company is registered under the laws of  Companies Act 2006 and has its registered office at Stone House, 12 High St, Chalfont Saint Giles HP8 4QA. These Terms of Use will govern the use of the Website and Application.

For the avoidance of doubt, it is clarified that we do not hire the Workers directly and in no manner whatsoever, they shall be deemed to be employees of the Company. 

The use of the Website and Application shall be entirely free of charge for the Workers and the Employers.

Access of the Website and Application shall automatically subject you to the Terms of Use and other policies stated herein which are incorporated by references. Please refrain from using the Website and Application if you disagree with the Terms of Use and other policies.

The Website and the Application has been developed for use by natural persons, and legal persons having their registered office in the United Kingdom, which includes but is not limited to partnership firms and companies. The Website and the Application shall not be used by any such person who is legally prohibited to do so. We reserve the right to restrict or block access to the Website and/or the Application if we discover that one of these conditions is not met.

Any person who registers as a Worker on the Website or the Application shall be solely responsible for having all the necessary permits and documentations in place which enables the Worker to find employment, and become an employee, in the [insert place]. Failure to comply with this requirement may entitle us to block the Worker from using the Website and/or Application.

Any person who registered as an Employer on the Website or the Application shall have registered office in the United Kingdom. The Employer shall be compliant with, and shall comply with, all data protection, employment and other applicable laws to its management and operations. The Employer shall be observant of all laws in hiring the Workers through this Website and/or the Application. The Employer hereby represents and warrants that it have all the requisite licences and approvals for the operation of their business. The Employer agrees to defend, indemnify and hold harmless the Company, its officers, directors, agents, contractors and employees from all damages, claims, losses, injuries, levies, penalties which the Company may suffer as a result of the acts or omissions of the Employer.

In the event the Company discovers, either directly or indirectly, that any information provided by the user is inaccurate, incorrect or incomplete, we reserve the right to terminate your access to the Website and/or Application temporarily or permanently. We also reserve the right to take any appropriate legal action, which includes but is not limited to, initiating a civil suit or reporting it as a criminal offence.

In the event we require you to provide any information, it shall be your responsibility to provide the same within the time specified, and in the absence of specified time, within 3 working days. We reserve the right to suspend or terminate access to the Website or the Application for your failure to do the same.

Without prejudice to the rights above, we shall have the absolute discretion to terminate or block your access to the Website or the Application at any time whatsoever without providing any prior notice or reason.

We shall not be responsible for any damages or losses that you may occur as a result of the Company exercising its right to block your access to the Website and/or the Application.

There are various features on the Website and Application which enables you to upload various types of content, and further to communicate with other users therein. You must ensure that the content you upload and all such communication shall be completely accurate, genuine and comply with the applicable rules, regulations and laws.

Furthermore, your content and communication must not be (i) defamatory in any manner whatsoever; (ii) contain any material which is offensive, obscene, inflammatory and hateful; (iii) promotes violence or sexually explicit material; (iv) discriminatory in nature, which may be based on sex, race, disability, sexual orientation, gender, marital status and age; (v) infringe any intellectual property right of any person whatsoever; (vi) deceptive to any person; (vii) in violation of any legal or equitable duty owed by you to any third party; (viii) to promote illegal activities; and (ix) abusive, threatening or invasive of other users; (x) causing harm, harassment or annoyance to other users.

In addition to the above, while communicating to other users, you shall ensure that you do not mislead or lie to other users, distribute unauthorised or spamming material to other users, contact users for reasons other than which are relevant to the Website, Application and the services therein, and use personal information of others without their consent, which includes, but is not limited to their email addresses, names, postal addresses etc.

You hereby warrant and represent that any content that you upload shall comply with the standards stated hereinabove and any loss that we may incur as a result of breach of such warranty shall be compensated by you.

The Worker understands that any content uploaded on the Website and/or the Application may be viewed by the Employer the Company matches you with. The Workers have the option to preview the information that the Employers may be able to see to select any Worker for the purpose of an assignment.

The proprietary rights in the content shall be retained by you only. However, you hereby provide us with a worldwide, perpetual, transferable, royalty-free and sub-licensable license to use such content, in any manner whatsoever for the purpose of management of the Website and the Application and provide you with the services.

In the event we receive a claim that you have violated intellectual property rights of the other party, we reserve the right to disclose your identity to such claiming party for the purposes of resolving the dispute.

Any content that you upload shall be your sole responsibility. We shall not be liable for the accuracy of the content which may be posted by you.

In the event any content that you post on the Website and/or Application is not compliant with the Terms of Use, we shall have the right to remove the same, without prejudice to other rights stated herein.

You shall be entirely responsible for maintaining backups of the content that you upload on the Website and/or the Application. We shall not be liable for any loss of such content.

The views that are expressed by other users on the Website and the Application are of their own. We do not represent them in any manner whatsoever.

7. Intellectual Property Rights

Except as stated otherwise, all content contained in the Website and Application, which includes but is not limited to, services, images, logos, information, data, documents, videos, audios and textual content, and the intellectual property rights contained therein, including but not limited to copyrights, trademarks and patents, belongs to the Company entirely. You shall be prohibited from copying, reproducing, republishing, downloading, distributing, printing and posting this content, either partially or wholly, without the prior written consent of the Company.

Nothing contained in the Terms of Use limits liability of the Company for personal injury or death which occurs as a result of negligence of the Company, or any such liability which cannot be limited or excluded under the applicable law.

The Company excludes all liability, whether express or implied, which may occur as a result of your use of Website and/or the Application.

We shall not be liable for any damage that may occur as a result of your use of the Website or Application, either occurring in contract or tort, whether foreseeable or not. Particularly, In no event whatsoever, the Company, its subsidiaries, affiliates, partners, subcontractors, licensors, employees, directors and/or agents be liable to you or any third party for direct, indirect, exemplary, special, consequential, punitive, incidental or any other kind of damages, claims, injuries or losses which arise directly or indirectly from the use of the Website or the Application or any other products or services which are distributed through this Website or the Application, irrespective of whether such damage is due to the result of errors, defects, viruses, interruptions or delays in the website.

The Company shall not be liable for any technical malfunctions that you may experience as a result of using this Website or Application or accessing the services therein. You shall be responsible for having your own virus protection software.

The Company may offer discounts and/or special offers to the users from our third party partners. Such discounts and/or special offers are subject to their availability. Discounts and special offers provided by third party partners are their sole responsibility and we shall not be liable for the same. We disclaim liability for any loss or damage incurred as a result of you availing the discounts and/or special offers provided by third party partners.

10. General clauses

We reserve the right to change the Terms of Use at any time without providing you any prior notice. In the event, you do not accept any change made herein, please inform us in writing within ten days of such publication. Failure to do the same shall deem to mean that you have accepted such changes. If you do not accept any changes made herein, we shall have the right to block access of the user to the Website and/or the Application.

If any provision of this Agreement or the application of any such provision to any person or circumstance is held invalid, illegal or unenforceable in any respect by a court of competent jurisdiction, such invalidity, illegality or unenforceability will not affect any other provision hereof.

In the event of any inconsistency between the Terms of Use and any other policies, the provisions of the Terms of Use shall prevail to the extent of such inconsistency.

These Terms of Use shall be governed by and construed in accordance with the laws of The Data Protection Act 2018 and any dispute arising out of this document shall be submitted to exclusive jurisdiction of the courts of The Magistrates.

The Company uses your information to provide the services stated in Terms of Use, and such details may be provided to Workers or Employers, as the case may be.

Some of your personal sensitive data, such as nationality details, physical and mental health and details regarding commission of an offence may also be processed for certain reasons.

This policy shall be effective as soon as you start using this website and shall remain in effect unless you are notified to the contrary.

You may provide us certain information while using the website and interacting with us. For the purposes of General Data Protection Regulation, we shall be deemed to be the “data controller”. We shall be responsible for deciding how to use the data for all legal and legitimate reasons and keeping such data safe and secure at all times.

This includes, but is not limited to (i) sensitive personal information about you such as your photograph, nationality, mental health and physical health information, passport information, details regarding commission of an offense etc., (ii) if you are a Worker, as part of the registration process, your personal information such as biographical details, date of birth, gender, contact details, email address, telephone number, professional details, CV, identification information, interview details, driving license, recommendations with previous employers, qualifications etc.; (iii) if you are a Worker, results of certain criminal records, financial checks and other searches conducted by independent parties subject that the circumstances justify it, for example you are applying for a particular role with an Employer; (iv) bank details, and details relevant to the benefits that may be administered on the Company’s behalf such as statutory pays, in the event that you are a Worker; (v) if you are an Employer or its designated contact, your name, gender and contact details, which will be taken during the registration process; (vi) all information that you provide as part of registration on the Website and Application, or filling forms on the Website and Application or for the purpose of accessing the services on this Website and Application; (vii) if you are participating in the referral scheme, details of the new person who registers using the referral link provided to the new person; (viii) record of the correspondence that takes place between us; (ix) in the event you complete surveys with us, all information in connection with such surveys; (x) details of your visit to the Website and the Application and all such information which is collected through technological means (cookies), which includes domain name, IP address, traffic data, web logs, data of location, streaming activity, communication data and screen content; and (xi) if you are a Worker, details of your relatives that you may provide to us in order to contact them in case of an emergency taking place.

Marketing is one of the key components that Talentbase Group Ltd focuses on. We may use your information for the purposes of marketing our services. This may be done by sending you emails and newsletters. However, we will take your consent for the same. 

Such information will also be used for sending you details of discounts and special offers which we or our business partners may offer from time to time. However, we will take you consent for the same.

We further provide the option to opt out of receiving electronic communications from us in connection with marketing of our Website and Application.

You will be required to upload your information on the Website or the Application as part of the registration process. Please note that the information that you upload on this Website or the Application will be visible to all other users that are registered on the Website or the Application. Thus, please ensure that all information that you do not wish for other users to see may not be uploaded by you. If you are a Worker and have been matched to an Employer, we will be required to provide the Employer with your information such as your identity and your suitability to work for certain roles. In such an event, the Employer shall be the data controller and be responsible for ensuring processing, controlling and protection of such information. We shall not be liable for any acts, omissions and/or conduct of such acts, omissions and/or conduct of the Employer. All Workers shall be solely responsible for reviewing privacy policies of other Employers and understand the mode and manner in which information is processed by them.

The details of the Employer are also shared with the Worker where both have been matched through the Website and/or the Application. The Worker will be provided with the Employer’s information such as identity and contact information. 

We may also allow agents and other third parties to use personal information for the reasons specified above. They shall deploy the same safeguards to ensure that the personal information is protected at all times. You may review the list of our agents and such third parties on our Website.

In the event our business is sold to another individual or entity, or we undergo a reorganisation which includes but is not limited to any legal merger, acquisition and scheme of amalgamation, you agree that the personal information that we possess may be transferred to any such reorganised entity. Such information may thereafter be used by the reorganised entity for the purposes stated herein. We shall ensure that the information is only transferred for all necessary reasons. 

The information may be transferred to court services, enforcement and investigation agencies and any other relevant third party for reasons required under the law. You shall not claim that the same shall be deemed to be an illegal or unauthorised disclosure.
